This Disclaimer and Limitation of Liability (“Disclaimer”) applies to the Yomit Service operated by Mikhail Gutentov, an Israeli authorized dealer (עוסק מורשה), tax / licensed dealer number 346700693, address for legal notices Shalom Aleichem 7, Apt. 2, Bat Yam, Israel. This Disclaimer forms part of your agreement with the Operator together with the Terms of Service and Privacy Policy. If there is a conflict on liability topics, the Terms and this Disclaimer should be read together; more specific liability language controls to the extent consistent with mandatory law.
English is the authoritative language of this Disclaimer. Translations are for convenience only.
1. Purpose of this Disclaimer
Yomit is used in operational environments that may involve construction sites, subcontracting chains, workforce management, location tracking, and financial estimates. Those contexts carry risks that software alone cannot eliminate. This Disclaimer clarifies the limits of the Operator’s responsibility so that you can decide whether and how to rely on the Service.
2. No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE — INCLUDING ALL SOFTWARE, INTERFACES, REPORTS, DASHBOARDS, MAPS, PAYROLL ESTIMATES, CONTRACT DRAFTS OR TEMPLATES, TRANSLATIONS, AI OUTPUTS, GPS DATA, ATTENDANCE RECORDS, INTEGRATIONS, AND DOCUMENTATION — IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WITHOUT LIMITATION, WE DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
No oral or written information from the Operator creates a warranty unless expressly stated in a signed written addendum. No uptime, support, or accuracy SLA applies unless purchased under such an addendum.
3. Not Professional Advice
Outputs of the Service are informational tools only. They are not:
- legal advice;
- tax, accounting, or audit advice;
- engineering, architectural, or quantity-surveying certification;
- occupational safety or site-supervision advice;
- a substitute for licensed payroll filing or government reporting.
You must independently verify critical figures, contracts, translations, and operational decisions before relying on them for payments, filings, hiring, safety, or site work.
4. Not a Fire, Life-Safety, or Emergency System
The Service, including any location, attendance, alert, or notification feature, is not a certified fire-detection, life-safety, emergency-response, security-alarm, or evacuation system, and must not be relied upon as one. Where law or workplace policy requires certified fire-life-safety or emergency systems, Customers must deploy dedicated, certified equipment and procedures independent of the Service.
5. Site Work, Subcontracting, and User Conduct
The Operator does not control physical worksites or the conduct of Customers, employees, contractors, or clients. Without limitation, we are not responsible for:
- construction quality, defects, delays, or cost overruns;
- site safety incidents, injuries, or regulatory violations at worksites;
- false, incomplete, or late attendance or report entries by users;
- disputes about quantities, norms, rates, or completed work;
- non-payment or breach of contracts between users/companies;
- employment or contractor classification decisions made by Customers.
The Operator is not a party to commercial, subcontracting, or employment agreements formed between users on or off the platform.
6. Location, Attendance, and Maps Accuracy
Location and attendance features depend on device permissions, GPS/network conditions, user behavior, and third-party map or geocoding providers. Pins, routes, and coordinates may be missing, delayed, duplicated, or inaccurate.
Do not use the Service as a sole timekeeping system of record where law requires certified systems. Customers remain responsible for lawful workplace monitoring practices.
7. GPS and Device Dependency
GPS-derived data quality depends on the end user’s device hardware, operating-system permissions, connectivity, and physical environment (for example indoor or underground locations, dense urban areas, or tunnels). The Operator does not guarantee any particular level of location accuracy, freshness, or continuity, and is not responsible for consequences of missing or inaccurate location data caused by these factors.
8. Third-Party Services
Outages, errors, or content produced by hosting providers, payment processors, maps, or email providers are outside the Operator’s reasonable control. We disclaim responsibility for the availability, accuracy, or security practices of any third-party service integrated with or linked from the Service.
9. Machine Translation and AI Outputs
AI and machine-translation outputs may hallucinate, omit context, mistranslate, or otherwise produce incorrect or misleading content. You assume the risk of relying on such outputs without human review, particularly for legal, financial, contractual, or safety-related decisions.
10. Beta and Experimental Features
Features labeled or reasonably understood as beta, preview, or experimental are provided for evaluation purposes only, may be changed or withdrawn at any time without notice, and may be less reliable or secure than generally available features. Use them at your own risk and avoid relying on them for critical operations.
11. User-Generated and Customer Content
Content entered by Customers and their users (including reports, messages, contract text, and catalog entries) is not reviewed, verified, or endorsed by the Operator. We are not responsible for the accuracy, legality, or consequences of such content, and Customers are solely responsible for content their users submit.
12. No Employment or Agency Relationship
Nothing in the Service or this Disclaimer creates an employment, agency, joint-employer, partnership, or fiduciary relationship between the Operator and any Customer, worker, contractor, or client using the Service. The Operator is not responsible for compliance of any party’s workforce arrangements with labor, immigration, tax, or safety law.
13. Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO SECTION 15 (MANDATORY LAW CARVE-OUT), THE OPERATOR’S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THE AGREEMENT — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO THE OPERATOR FOR THE SERVICE DURING THE ONE (1) CALENDAR MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IF NO FEES WERE PAID TO THE OPERATOR FOR THE SERVICE IN THAT MONTH, THE OPERATOR’S LIABILITY IS ZERO.
This cap applies in aggregate to all claims arising in the relevant one-month period and is not per incident, except where mandatory law requires otherwise.
14. Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
15. Mandatory Law Carve-Out
Nothing in this Disclaimer excludes or limits liability that cannot lawfully be excluded or limited under Israeli law. Where a limitation is unenforceable (including regarding intentional misconduct or gross negligence to the extent mandatory law so requires), it shall be modified to the minimum extent necessary to be enforceable and shall not expand liability beyond what mandatory law requires.
16. Force Majeure
The Operator is not liable for delay or failure to perform resulting from circumstances beyond reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failures of hosting providers, internet backbone providers, or telecommunications carriers, cyberattacks, epidemics, or government actions.
17. Assumption and Allocation of Risk
You acknowledge that the fees charged for the Service (including free use) reflect this allocation of risk and the limitations of liability set out in the Terms and this Disclaimer. If you require higher commitments (for example an SLA or higher liability cap), those must be negotiated in a separate signed written addendum.
18. Indemnification Reference
Customer indemnification obligations toward the Operator (for example regarding Customer Content, workforce practices, and disputes with third parties) are set out in the Terms of Service and apply in conjunction with this Disclaimer.
19. Third-Party Links
The Service may contain links to third-party websites, maps, or resources that are not operated by us. Inclusion of a link does not imply endorsement, and we are not responsible for the content, accuracy, or practices of linked third-party resources.
20. Changes to This Disclaimer
We may update this Disclaimer from time to time by posting a new version with an updated version identifier. Material changes may be communicated by email or in-product notice and may require re-acceptance together with the Terms.
21. Governing Law and Jurisdiction
This Disclaimer is governed by the laws of the State of Israel. Exclusive jurisdiction and venue lie with the competent courts in the Tel Aviv–Jaffa district, as stated in the Terms of Service.
22. Entire Agreement and Severability
This Disclaimer, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Operator on the topics covered here. If any provision of this Disclaimer is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties’ original intent.
